Introduction

Welcome to Verifi Wallet. By accessing or using our website and services (collectively, the “Services”), you agree to be bound by the following Terms of Service (“Terms”). Please read these Terms carefully before using our Services. If you do not agree with these Terms, do not use our website or Services.

These Terms constitute a legally binding agreement between you and Verifi Wallet (“we,” “us,” or “our”), governing your access to and use of the Services.

1. Acceptance of Terms

By using Verifi Wallet’s Services, you agree to comply with these Terms and all applicable laws and regulations. If you are accessing our Services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Your continued use of our Services following the posting of any changes to these Terms constitutes your acceptance of those changes.

2. Services Provided

Verifi Wallet provides a free tool for real-time crypto wallet risk assessments. The Services are designed to help users evaluate the safety and reliability of crypto wallets for transactions. The Services may include, but are not limited to:

  1. a) Risk assessment of cryptocurrency wallets; b) Deconfliction services for law enforcement agencies; c) Information sharing between vetted financial and blockchain investigators; and d) Other features and services that we may add from time to time.

3. User Registration and Account Security

3.1 Registration Requirements

To access certain features of our Services, you may be required to register for an account. During registration, you will be required to provide accurate, current, and complete information as prompted by the registration form, and to keep such information updated.

3.2 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Verification

We may, in our sole discretion, verify the identity of any user, particularly those identifying themselves as law enforcement or financial investigators. You agree to cooperate with any verification processes we implement.

4. User Obligations

4.1 Lawful Use

You must use our Services responsibly and in compliance with all applicable laws. You agree not to use our Services for any illegal, fraudulent, or unauthorized purpose.

4.2 Prohibited Activities

You agree not to:

  1. a) Misuse our Services, including but not limited to attempting to reverse-engineer, hack, or disrupt the functionality of our platform; b) Scrape data from our platform (any accounts found scraping data will be permanently banned without exception); c) Use our Services to harass, abuse, or harm another person or entity; d) Introduce malicious code or attempt to compromise the security of our Services; e) Impersonate another user, law enforcement agency, or financial institution; f) Submit false or misleading information; or g) Use our Services in any manner that could disable, overburden, or impair the Services.

5. Data Submission and Information Sharing

5.1 Sources of Information

The information provided by Verifi Wallet is based on data submitted by users, law enforcement agencies, financial institutions, investigators, law firms, and consumers.

5.2 Law Enforcement Deconfliction

If a law enforcement agency reports a wallet for deconfliction purposes, other verified law enforcement users can see their contact details to facilitate coordination. We do not ask for or retain any Criminal Justice Information Services (CJIS) data, personally identifiable information (PII), or case numbers in our system.

5.3 Information Sharing with Vetted Investigators

We provide our Services to vetted financial investigators and blockchain investigators who may come across wallets reported for investigation. However, law enforcement contact information is not displayed to non-law enforcement users.

5.4 No Accuracy Guarantee

While we strive for accuracy, we do not guarantee the reliability or completeness of the information provided through our Services. The information provided is for informational purposes only and should not be the sole basis for making financial or legal decisions.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are owned by Verifi Wallet, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License to Users

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes in accordance with these Terms.

6.3 User Submissions

Any information, data, text, or other materials you submit to our Services (“Submissions”) remain your property. However, by submitting such materials, you grant Verifi Wallet a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, translate, and distribute such content solely in connection with providing, securing, and improving our Services.

This license also includes the right to use anonymized and aggregated forms of your Submissions for lawful secondary purposes, such as platform analytics, service optimization, research, and API-based sharing with third parties, provided that no personally identifiable or investigator-specific information is disclosed or made accessible.

You represent and warrant that you own or have the necessary rights to grant us this license for any Submissions you provide, and that such Submissions do not infringe the intellectual property rights, privacy rights, or confidentiality obligations of any third party.

7. Privacy and Data Retention

7.1 Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using our Services, you consent to the collection, use, and sharing of your information as set forth in the Privacy Policy.

7.2 Data Retention

We retain data submitted to our Services in accordance with our data retention policies and applicable laws. We implement reasonable security measures to protect the data we collect, but we cannot guarantee absolute security.

7.3 Law Enforcement Data

For law enforcement users, we do not ask for or retain any Criminal Justice Information Services (CJIS) data, personally identifiable information (PII), or case numbers in our system. The contact information provided for deconfliction purposes is used solely to facilitate communication between law enforcement agencies.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VERIFI WALLET EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED.

8.2 Limitation of Liability

VERIFI WALLET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Verifi Wallet, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from or relate to:

  1. a) Your use of our Services; b) Your violation of these Terms; c) Your violation of any rights of another person or entity; or d) Any Submissions you provide.

10. Termination

10.1 Termination by Verifi Wallet

We reserve the right to suspend or terminate your access to our Services at our sole discretion, without notice, if we believe you have violated these Terms or for any other reason. Any accounts found to be scraping data will be permanently banned without exception.

10.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Modifications to the Terms

We may modify these Terms at any time in our sole discretion. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.

We encourage you to review these Terms periodically for any changes. If the changes are significant, we may provide additional notice through our website or via email.

12. Dispute Resolution

12.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any principles of conflicts of law.

12.2 Arbitration Agreement

Except for disputes that qualify for small claims court, any dispute arising from or relating to these Terms or our Services shall be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

The arbitration will be conducted in Dallas, Texas, unless you and Verifi Wallet agree otherwise. Each party will be responsible for its own costs, except that the costs of the arbitrator will be shared equally.

YOU UNDERSTAND THAT BY AGREEING TO THIS ARBITRATION PROVISION, YOU ARE WAIVING YOUR RIGHT TO HAVE ANY DISPUTE HEARD IN COURT AND YOUR RIGHT TO A JURY TRIAL.

12.3 Class Action Waiver

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

12.4 Time Limitation

Any claim or cause of action arising out of or related to these Terms or the use of our Services must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary. Any claim not filed within this period shall be forever barred.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Verifi Wallet regarding the Services and supersede all prior agreements and understandings.

13.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Verifi Wallet.

13.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to, electrical or communications outage, acts of God, war, terrorism, civil unrest, fire, flood, or earthquake.
